Facilitating Incentive Payments

Terms

1.1          This clause sets out Piclo's role in facilitating payments due from the System Operator to you in respect of Flexibility delivered via the Piclo Platform. 

1.2          In this clause the following defined terms shall have the following meanings:

“System Operator” means the electric distribution company or electric utility with which you have a contract to provide Flexibility.

“Payment Service Provider” means a licensed third-party payment processor company that facilitates the transfer of funds from bank or other financial accounts, through which payments from the System Operator to you may be made.

1.3          Where any payment is due from the System Operator to you under your contract with the System Operator, for Flexibility delivered by you via the Piclo Platform, the System Operator will use a Payment Service Provider to make these payments and has appointed Piclo to play a role in facilitating and setting up those payments, including:

1.3.1    Piclo will generate invoices from you to the System Operator for amounts due;

1.3.2    Piclo will provide instructions to the System Operator to make payments in respect of those invoices to the Payment Service Provider and, when received, will provide instructions to the Payment Service Provider to make the relevant payment to you.

1.4    Piclo responsibility in relation to facilitating payments is only to generate invoices and issue instructions to the System Operator and the Payment Service Provider.  Piclo is not responsible for the actual payments and cannot control the actions of the System Operator of the Payment Service Provider.  The contractual relationship under which such payments are due is between the System Operator and you, and Piclo is not a party to that contract and cannot be held liable for payment or nonpayment by the System Operator.
